Freiburg im Breisgau, July 29, 2010 - The Executive  Board  of  Solar-Fabrik  AG
adopted a resolution on July 29, 2010,  with  the  consent  of  the  Supervisory
Board dated July 29, 2010 to increase the capital stock of the company of
EUR 11,685,000.00, which is divided into 11,685,000 no-par bearer  shares,  by
up to EUR  1,168,499.00  to  a  maximum  of  EUR  12,853,499.00  in  exchange
for cash contributions. Up to 1,168,499 no-par bearer shares with a full
entitlement  to a share in profits as of fiscal year 2010 are to  be  issued.
The  subscription right of shareholders is excluded pursuant to the
authorization  in  Section  5 Sentence 5 of the Articles of Association. 

The up to 1,168,499 new shares will  be  offered  to  German  and  international
institutional investors by way of the accelerated bookbuilding method. 

The funds from the capital increase will be used to finance the  growth  planned
by the company in Europe as well as in North-America. 

The Frankfurt-based investment bank equinet AG will act  as  sole  lead  manager
and sole bookrunner in the transaction.
