London, September 4, 2008 – Mobile Gaming Solutions Plc (’MGS’) announced
today that it has held a Shareholders’ Meeting in London on Monday, 1
September 2008. Altogether, 121,393,799 registered shares were represented.

The shareholders meeting approved the proposed change of company name to
‘Managed Gaming Solutions Plc’ (’MGS’). The change of name shall reflect
the enlarged product portfolio of the company, which is not limited to
‘mobile’ solutions, since MGS delivers turn-key and customised – also
web-based – solutions for gaming operations. Further, the company shall be
consciously detached from a perceived link to ‘casual mobile games’ and
similar low complexity content offerings, since latter do not reflect MGS’s
field of activities.

In a second resolution, the Board of Directors was given the authority to
issue and allot additional equity securities of up to an aggregate nominal
value of GBP 526,000, which may be used for targeted offering to either
existing or new investors as well as for new acquisitions.

The third resolution pertained to the acquisition of Bovatek Holdings Ltd
(’Bovatek’) to be paid for by allotment of new MGS shares. Bovatek,
established in 2007, is a privately held company, focusing on technology
development and activities around online and wireless auction systems.
Bovatek holds the intellectual property rights pertaining to the software
technology for the online and text message auction system, which MGS is
currently implementing in its new B2C auction businesses. The shareholders’
meeting approved the directors’ proposal that the Board may allot
approximately 26,900,000 ordinary shares in Mobile Gaming Solutions Plc to
the shareholders of Bovatek as consideration.

All three resolutions were passed unanimously.
