Graphit Kropfmühl AG (ISIN DE0005896005 / WKN 589600) reports that Quantum
Unternehmensbeteiligung GmbH & Co, Hamburg, entered a Sale and Purchase
Agreement dated 18 March 2008 to sell its shares in Graphit Kropfmühl AG to
AMG Invest GmbH, a 100 % subsidiary of AMG Advanced Metallurgical Group
N.V., Amsterdam, at a price of EUR 18.25 per share. Closing is subject to
approval of the German Federal Cartel Office. AMG Invest GmbH also acquired
the shares in Graphit Kropfmühl AG that were held directly by the members
of Quantum Unternehmensbeteilung GmbH & Co. Thereby AMG Invest GmbH will
hold 62.3 % of the company's shares.
The AMG Invest GmbH announced that it intends to make a voluntary public
tender offer to acquire the remaining outstanding shares of Graphit
Kropfmühl AG at the amount of EUR 18.25 per share
AMG - Group as major shareholder provides Graphit Kropfmühl AG attractive
growth opportunities especially in the field of silicon metal for the solar
industry.
AMG - Group as an important manufacturer and provider of metallurgical
high-quality products is also able to make an essential contribution to the
further expansion of the company's graphite segment and its positioning as
one of the major provider of high-quality graphite products.

In respect of the announced voluntary public tender offer by AMG Invest
GmbH and to ensure that the shareholders are provided with comprehensive
information to assess this offer, the publication date of the consolidated
financial statements of the Graphit Kropfmühl AG is moved from
30 April 2008 to 2 April 2008. The balance sheet press conference planned
for 30 April 2008 also will be held on Wednesday, 2 April 2008,
at 10.00 a.m. at the Hotel Bayerischer Hof in Munich.
